AdvocateRxSolutions Product Advocate Program Agreement

This Product Advocate Program Agreement (the “Agreement”) is made between AdvocateRxSolutions, a DBA under Scale Rocket LLC (the “Company”), and the Product Advocate (the “Product Advocate”). By participating in the Company’s Product Advocate Program, the Product Advocate agrees to comply with the following terms and conditions. This Agreement outlines the responsibilities, limitations, and expectations for promoting Direct Meds products as part of AdvocateRxSolutions’ exclusive sales organization.

1. Definitions

1.1 “Product Advocate” refers to any individual or entity approved by AdvocateRxSolutions to participate in the Product Advocate Program.

1.2 “Company” refers to AdvocateRxSolutions .

1.3 “Program” refers to the Product Advocate Program operated by the Company.

1.4 “Promotional Content” refers to any approved videos, text, images, or materials provided by the Company for use by Product Advocates.

1.5 “Product Advocate Link” refers to the unique tracking URL provided to the Product Advocate by the Company.

1.6 “Approved Websites” refers to the list of websites and platforms where Product Advocates are permitted to post Promotional Content, as determined by the Company.

2. Enrollment and Participation

2.1 To participate in the Program, the Product Advocate must complete the application process and be approved by the Company. Approval is at the sole discretion of the Company.

2.2 Product Advocates must provide accurate information in their application and maintain the confidentiality of their Program account login credentials.

2.3 The Company reserves the right to terminate the Product Advocate’s participation in the Program at any time, for any reason, with or without cause.

3. Use of Promotional Content and Marketing Restrictions

3.1 Product Advocates may only use Promotional Content provided or approved by the Company. No modifications, additions, or alterations to the Promotional Content are permitted without the Company’s prior written consent.

3.2 Product Advocates are prohibited from using any content that has not been explicitly approved by the Company, including but not limited to images, videos, and website designs.

3.3 Product Advocates may only post Promotional Content on Approved Websites. Product Advocates must obtain written permission from the Company before using any additional websites or platforms for promotion.

4. Prohibited Marketing Practices 4.1 Product Advocates are prohibited from engaging in deceptive marketing practices, including but not limited to:

o Cookie stuffing or use of unauthorized scripts.

o URL masking or link cloaking that conceals the origin of the Product Advocate Link.

o Use of pop-ups, pop-unders, or misleading redirects.

o Posting on unauthorized websites, forums, or platforms.

o Making false claims about product efficacy or benefits.

4.2 Product Advocates must not use paid advertisements, pay-per-click campaigns, or any other form of paid traffic to promote Product Advocate Links without prior written approval from the Company.

5. Commission and Payment Terms

5.1 The Company will pay commissions to Product Advocates based on sales generated through the Product Advocate’s unique Product Advocate Link, as tracked by the Company’s systems.

5.2 Commission rates, payment schedules, and payout methods are determined by the Company and subject to change at any time, with notice provided to the Product Advocate.

5.3 Product Advocates must meet the minimum payout threshold of $25 before receiving payments. All payouts are subject to the Company’s review and approval.

5.4 Commission Period:

The commission week begins at 12:00 a.m. Pacific Standard Time (PST) on Monday and ends at 11:59 p.m. PST the following Sunday.

5.5 Payment Schedule:

Commissions earned during any given commission week are processed and paid on the Monday following the next Monday, which is eight (8) days after the close of the commission period.

6. Confidentiality and Limited License Rights

6.1 Product Advocates must maintain the confidentiality of all non-public information shared by the Company, including but not limited to customer data, marketing strategies, and proprietary content.

6.2 The Company grants the Product Advocate a limited, non-exclusive, revocable license to use Promotional Content solely for the purpose of promoting Direct Meds products under this Agreement. This license may be terminated at any time, with or without cause.

7. Termination and Modifications

7.1 The Company reserves the right to modify or terminate this Agreement at any time, with or without notice. Continued participation in the Program constitutes acceptance of any modifications to the Agreement.

7.2 Either party may terminate this Agreement at any time, for any reason, by providing written notice to the other party.

8. Legal Compliance and Dispute Resolution

8.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Wyoming without regard to its conflict of law principles.

8.2 Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in Wyoming.

9. Miscellaneous

9.1 This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings, whether written or oral.

9.2 Product Advocates may not assign or transfer this Agreement or any of their rights or obligations hereunder without the Company’s prior written consent.

10. Acknowledgement and Acceptance By participating in the AdvocateRxSolutions Product Advocate Program, the Product Advocate acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.

11. Income Claims Prohibition

11.1 Product Advocates are strictly prohibited from making any explicit or implied income claims, projections, or promises about potential earnings from participation in the Program.

11.2 Any statements related to income must focus on personal experience without guaranteeing similar results for others. All promotional materials should comply with the Company’s guidelines and must not mislead potential participants regarding income possibilities.

1. Introduction

Welcome to the AdvocateRxSolutions Product Advocate Program. AdvocateRxSolutions, a DBA of Scale Rocket LLC, invites you to become a product advocate, agreeing to abide by these Policies and Procedures that govern your relationship with the company. AdvocateRxSolutions serves as the exclusive sales organization for Direct Meds, without engaging in product formulation, manufacturing, or distribution. For any inquiries regarding product claims or technical support, please contact Direct Meds’ customer support directly.

2. Product Advocate Relationship and Responsibilities

2.1 Role and Scope

As a product advocate of AdvocateRxSolutions, you act solely as a promoter of Direct Meds products. You are responsible for driving traffic to the Direct Meds website and generating sales through your unique referral links. You are not an employee, partner, or joint venture partner of AdvocateRxSolutions or Direct Meds.

2.2 Product Claims and Representations

Product advocates are prohibited from making false, misleading, or exaggerated claims about Direct Meds products, including but not limited to claims about product efficacy, health benefits, or clinical research that have not been verified. Any such violation will result in immediate termination of your product advocate agreement and forfeiture of commissions earned to date. 3. Use of Marketing and Promotional Materials

3.1 Approved Marketing Materials

Product advocates are required to use only authorized promotional materials provided by AdvocateRxSolutions. Unauthorized creation or distribution of additional marketing materials without prior written consent is strictly prohibited.

3.2 Prohibited Practices

• Product advocates cannot manipulate referral links in any way that could alter tracking, mask referral sources, or mislead customers.

• Engaging in activities like cookie stuffing, false links, or deceptive redirects is strictly prohibited. Violations will result in immediate termination and voiding of all commissions.

4. Prohibited Activities and Marketing Conduct

4.1 Unauthorized Marketing Channels

Product advocates may not use spam, unsolicited emails, or other disruptive marketing techniques to promote Direct Meds products.

4.2 Domain Names and Branding

Product advocates may not use any Direct Meds or AdvocateRxSolutions trademarked terms as part of their domain names or sub-domains (e.g., www.directmedsdiscount.com). Any violation of this rule will result in immediate suspension of your account.

5. Intellectual Property Rights

5.1 License Grant

AdvocateRxSolutions grants product advocates a limited, non-exclusive, revocable license to use its approved marketing materials for the sole purpose of promoting Direct Meds products. This license is terminated automatically upon termination of the product advocate agreement.

5.2 Trademark and Copyright Infringement

Product advocates are prohibited from using copyrighted content, logos, or trademarks belonging to Direct Meds or AdvocateRxSolutions without prior written consent. Product advocates are solely responsible for any legal actions or disputes arising from unauthorized use of intellectual property.

6. Commission Structure and Payment Terms

6.1 Commission Payouts

• Commission rates, payout schedules, and payment methods will be determined based on the product advocate’s performance and in accordance with the terms set forth in their specific agreement.

• Commission payments will be issued on a monthly basis, provided the minimum payout threshold of $25.00 has been met.

• AdvocateRxSolutions reserves the right to make any changes to the commissions payouts at any time without the consent of Product Advocates

6.2 Commission Forfeiture and Adjustments

Commissions are subject to adjustment if sales are later canceled, returned, or deemed fraudulent. Additionally, if a product advocate is found to be in violation of any policies, all pending commissions may be forfeited as part of the disciplinary actions.

7. Product Advocate Responsibilities and Compliance

7.1 FTC Compliance and Disclosure

Product advocates must comply with all applicable laws and regulations, including the Federal Trade Commission (FTC) guidelines on endorsements and testimonials. Product advocates must disclose their relationship with AdvocateRxSolutions clearly and conspicuously in all communications where a referral link is used (e.g., tagging #ad on social media posts).

7.2 Behavioral Standards

Product advocates must conduct themselves in a professional and ethical manner. Engaging in fraudulent activities, misleading customers, or using unauthorized promotional tactics is grounds for immediate termination.

8. Termination and Modifications

8.1 Termination

AdvocateRxSolutions reserves the right to terminate the product advocate agreement at any time, for any reason, with or without cause. Termination notices will be sent via email, and all product advocate rights and obligations will cease immediately upon termination.

8.2 Modifications to the Agreement

AdvocateRxSolutions may update or modify these Policies and Procedures at any time. The most current version of the document will be made available on the AdvocateRxSolutions website, and it is the responsibility of the product advocate to review these changes periodically. Continued participation in the program constitutes acceptance of the updated terms.

9. Legal Compliance and Dispute Resolution

9.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Wyoming without regard to its conflict of law principles

9.2 Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved in state of Wyoming

10. Miscellaneous

10.1 Independent Contractor Status

Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Product advocates are independent contractors and are responsible for their own business activities and tax obligations.
